Terms of Service for Moraya
1. Agreement and Scope
By using Moraya — Moraya Desktop (macOS, Windows, Linux), Moraya Web (app.moraya.app), or Moraya Mobile (iOS, Android), together the “Software”, and any connected cloud services (the “Service”) — you agree to these Terms.
Moraya is local-first: the Software is fully usable offline and without an account. Sections about accounts, subscriptions, and cloud features apply only if you opt in to them.
2. Product Description
Moraya is a Markdown editor and knowledge workspace with optional AI assistance (bring your own key), optional end-to-end encrypted cloud sync, and bring-your-own-cloud storage. Where cloud sync is used on Moraya Web and Mobile, the Service stores ciphertext only; we cannot read your notes.
3. Licenses and Open Source
Different Moraya components are licensed differently:
- Moraya Desktop is open-source software licensed under the Apache License 2.0 (github.com/zouwei/moraya). Your use, modification, and redistribution of the Desktop source code are governed by that license, which prevails over these Terms for the open-source code itself.
- @moraya/core, the shared editor engine, is open-source software licensed under the GNU GPL-3.0 (npm: @moraya/core). Use of that package is governed by the GPL.
- Moraya Web and Moraya Mobile are proprietary. We grant you a personal, non-exclusive, non-transferable, revocable license to use them, within the limits of your subscription tier where applicable. You may not copy, modify, reverse-engineer, resell, or sublicense them except where law permits.
- The “Moraya” name and logo are trademarks and are not licensed under any open-source license.
4. Account (optional)
Cloud features use a Picora account:
- You must be at least 13 years old (16 in the EU) to create an account.
- You are responsible for safeguarding your master passphrase and recovery code. If you lose both, your end-to-end encrypted notes are unrecoverable.
- One person, one account. No automated registration.
- The Desktop app does not require an account for any local functionality.
5. Subscriptions (Web, Mobile)
Tiers
- Connect (Free) — single device, basic editor, Picora cloud sync.
- Personal — RAG, long-term memory, multi-device sync, push notifications.
- Team — collaborative editing, audit logs, SSO.
- Enterprise — custom domain, HSM, compliance archive.
Billing
- Web subscriptions are billed by Stripe (USD, EUR) or Alipay (CNY) on a recurring monthly or annual basis.
- Mobile subscriptions, where offered through the Apple App Store or Google Play, are billed via Apple IAP or Google Play Billing, subject to those platforms’ policies.
- Cancel anytime in Settings → Billing; cancellation takes effect at the end of the current billing period.
- Prices exclude taxes; applicable VAT / GST / sales tax is added at checkout.
Refunds
- Web: pro-rata refund within 14 days of first purchase (EU consumer right of withdrawal). After 14 days, no refunds.
- Apple IAP: per Apple’s refund policy (reportaproblem.apple.com). Google Play: per Google’s refund policy.
6. Acceptable Use
You agree not to:
- use the Service to store or distribute illegal content (CSAM, malware, etc.);
- use the Service to harass, threaten, or defame others;
- attempt to circumvent the encryption or access another user’s data;
- resell or sublicense the Service (this does not restrict rights granted by the Apache-2.0 or GPL-3.0 licenses for the open-source components);
- run automated scraping or scripting against our APIs beyond published rate limits.
Because synced content is ciphertext, we cannot proactively moderate it. We respond to law-enforcement requests and DMCA notices as required by law; in practice we can only suspend accounts and provide account metadata (email, sign-in IP, billing records) — we cannot produce note content.
7. Your Content and Data Ownership
- You own everything you write. We claim no license to your content beyond what is needed to store ciphertext and route it between your devices.
- Your documents are plain Markdown files (Desktop) or exportable as Markdown at any time (Web/Mobile).
- You may delete your account at any time; we purge server records within 30 days.
- Bring-your-own responsibilities: API keys, cloud-storage buckets, KMS keys, and MCP servers you configure are yours. You are responsible for their costs, their security, and your compliance with the third party’s terms.
8. Third-Party Services
The Software integrates optional third-party services — AI providers, speech providers, object storage, KMS, GitHub publishing, MCP servers, payment processors. Data flows to them directly from your device only when you invoke the corresponding feature, as described in the Privacy Policy. Your use of each service is governed by that provider’s own terms; we are not a party to those agreements and are not responsible for those services.
9. Open-Source Components and Attributions
The Software includes open-source components (including @moraya/core, ProseMirror, KaTeX, highlight.js, mermaid, and others) used under their respective licenses. Nothing in these Terms limits the rights those licenses grant you.
10. Warranty and Liability
THE SOFTWARE AND SERVICE ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MORAYA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL MORAYA’S AGGREGATE LIABILITY EXCEED THE GREATER OF (a) THE FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM, OR (b) USD 100. FOR THE OPEN-SOURCE COMPONENTS, THE WARRANTY DISCLAIMERS OF THE APPLICABLE LICENSES (APACHE-2.0, GPL-3.0) ALSO APPLY.
Local-first design means you hold the primary copy of your data. You are responsible for backups of your local files, your passphrase, and your recovery code.
11. Termination
We may suspend or terminate your account if you materially breach these Terms, with 7 days’ notice unless the breach involves illegal content, in which case we may act immediately. Termination of an account does not affect your rights under the open-source licenses or your locally stored data.
12. Governing Law and Disputes
These Terms are governed by the laws of Singapore (for non-EU users) or your country of residence (for EU consumers, per the Brussels I bis Regulation). Disputes shall be resolved in the courts of those jurisdictions.
13. Changes
We may revise these Terms. For material changes we will notify account holders in-app and by email at least 30 days in advance; changes are also posted on moraya.app.
14. Language
These Terms are drafted in English. Translations (including Simplified Chinese) are provided for convenience only; the English version prevails in case of any conflict.
