End User License Agreement

This Agreement is between Nlitesoft d.o.o. and you, the end user, regarding the use of NTLite software. By installing, copying, or otherwise using this software, you agree to be bound by the terms below.
License Grant and Usage Rights
We grant you one non-exclusive license to install and use this software, subject to the terms specified for your license type. You may create backup copies of the software, but these copies must not be distributed, circulated, or made publicly available in any form. This license is granted to a specific licensed user and may not be transferred or resold to another party after the initial designation, except with our prior written agreement.
The software customizes Microsoft Windows installation media. You are responsible for ensuring that any Windows installation you customize, deploy, or distribute is properly licensed in accordance with Microsoft's applicable license terms. The software does not modify Windows activation state.
License Types and Eligibility
Free and Home Licenses are granted exclusively for personal, non-commercial use, including the creation of end products for personal use. The Free version may be used by companies for evaluation purposes for a period of one month, after which the software must either be uninstalled or an appropriate license must be purchased. Private individuals may continue using the Free version without a time limit.
Professional and Business licenses may be used in commercial environments, with the term "environment" referring to the intended use of the software, not its geographical location. A licensed user is the individual designated at the time of purchase or registration - either the purchaser themselves, an employee designated by the purchasing entity, or an individual designated by an authorized reseller. The machine on which the software is used must be owned or controlled by the licensed user, or by their employer in the case of commercial licenses.
Intellectual Property and Copyright
The software is protected by copyright laws within the European Union and other jurisdictions. All intellectual property rights in the software are retained by us. You may not publish, sell, market, distribute, lend, lease, rent, sublicense, or create derivative works of the software or any part of it, including the license key. You may not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the software, except where such activity is expressly permitted by applicable law or for the sole purpose of security research conducted in good faith. The above restrictions do not apply to the open source libraries referenced in the OPEN SOURCE COMPONENTS NOTICE, which follow their own independent, less restrictive licenses.
Software Activation and Usage
Activation is the process of unlocking premium features using a purchased license code. The Free version does not require activation.
While an online connection is recommended for activation, manual activation via email is also available.
For Home and Professional licenses, activation is tied to the licensed user and a specific machine. You may transfer your license to a different machine up to five times. Restoring activation on the same machine (such as after reinstalling the operating system) does not count toward this limit. Beyond five machine transfers, further transfers will require email verification or a reset at our discretion.
For Business licenses, activation is portable and tied to the licensed user rather than a specific machine. The software may only be used by one user at a time.
The software can function and be upgraded offline. The license activation is preserved across operating system reinstallations if the activation files are backed up and hardware remains unchanged.
Waiver of Right of Withdrawal (applicable to EU Consumers)
By purchasing and activating the software, you expressly consent to the immediate performance of this contract and acknowledge that you lose your right to withdraw from the contract once the activation has begun.
In compliance with the European Union Consumer Rights Directive (Directive 2011/83/EU), we inform you that:
- Digital Content: This software constitutes digital content not supplied on a tangible medium.
- Right of Withdrawal: You acknowledge and agree that by initiating the activation of this software, you waive your statutory right of withdrawal as provided under the Directive.
- Refund Policy: Refunds may still be available under the specific conditions outlined in the "LIMITATION OF LIABILITY" section of this agreement.
By agreeing to these terms, you confirm that you have read, understood, and agreed to waive your right of withdrawal.
Premium Features and Subscription
Paid licenses include one year of access to all existing premium features, as well as any new premium features released during that period, without affecting the perpetual nature of the license. After this one-year subscription period, only new premium features introduced after the subscription expiration date will be locked until the subscription is renewed. Renewals of the premium feature subscription are available at a discounted rate.
Limited Warranty and Support
We warrant that the software will perform substantially as described in the product documentation available on our website at the time of purchase. Your remedy for breach of this warranty is described in the "LIMITATION OF LIABILITY" section.
We will support compatible Windows versions to the best of our abilities at least until the end of their 'Mainstream support' lifecycle. More info here: https://learn.microsoft.com/en-us/lifecycle/products/ Windows "Moments" are also considered separate versions, introduced after Windows 11 22H2.
Should Microsoft alter how a supported Windows version operates, potentially disabling certain features of this software, we reserve the right to modify or remove the affected features.
We have taken reasonable precautions to ensure that the software is free from viruses, spyware, "back door" entrances, or any other harmful code. The software will not collect any personal data or monitor your use of the software beyond what is necessary for license activation and update checks, except as explicitly authorized by you. The software will not download any third-party software without your consent. Auto-updating is enabled by default and can be disabled in settings.
To the fullest extent permitted by applicable law, we disclaim all implied warranties of merchantability or fitness for a particular purpose. We do not warrant that the software or your use of it will be uninterrupted or error-free.
If development of the software ceases, all existing customers will be provided with a less restrictive version, allowing continued use without limitations on activation counts.
Limitation of Liability
To the maximum extent permitted by applicable law, we disclaim all liability for indirect, incidental, or consequential damages, including but not limited to lost profits, lost data, or business interruption. In no event shall our total liability for any direct damages exceed the amount you paid for the software license. We shall not be liable for any delay or failure to perform our obligations under this agreement due to circumstances beyond our reasonable control.
If the software contains a defect that substantially prevents it from performing as documented, and we are unable to provide a fix or workaround after reasonable efforts, you may be eligible for a full or partial refund at our discretion.
Refunds are not available for just trying the software, as a free version is provided for evaluation purposes. Unused, non-activated licenses are eligible for a refund within two months of purchase.
General Terms
If any part of this agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. This agreement operates within the framework of applicable statutory rights and does not override them. Where the law permits, certain rights, such as the right of withdrawal, may be waived as outlined in this agreement.
This agreement represents the entire understanding between you and us regarding the use of the software. We may update this agreement from time to time. Changes will be communicated through the software. Your continued use of the software after such changes constitutes acceptance of the updated terms.
This agreement shall be governed by the laws of the Republic of Croatia, a member state of the European Union. We encourage you to contact us regarding any concerns before pursuing formal dispute resolution. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts in Croatia, except where mandatory consumer protection laws grant you the right to bring proceedings in your country of residence.
Open Source Components Notice
This software is not open source, but it includes open source components listed below. Each component's license, source code location, and additional information can be found in its 'readme.txt' within the .\Tools directory after installation.
