Fixes #69 (together with nodejs/node#9329).

GOVERNANCE is mostly copied boilerplate from https://github.com/nodejs/node/blob/master/WORKING_GROUPS.md#bootstrap-governance

LICENSE is MIT per current Foundation policy.

@nodejs/tsc can you take a look? Thanks!
