THIS END USER LICENCE AGREEMENT (“EULA”) IS A LEGAL AGREEMENT BETWEEN YOU (“LICENSEE”, “YOU”, “YOUR”) AND AUDDICT (“LICENSOR”, “WE”, “US”) GOVERNING YOUR USE OF ANY VIRTUAL INSTRUMENT, SAMPLE LIBRARY, AUDIO SOFTWARE, OR RELATED DIGITAL PRODUCT (“PRODUCT”) PURCHASED FROM AUDDICT. BY DOWNLOADING, INSTALLING, ACTIVATING, OR OTHERWISE USING ANY PRODUCT, YOU AGREE TO BE BOUND BY THIS EULA IN ITS ENTIRETY. IF YOU DO NOT AGREE, DO NOT DOWNLOAD, INSTALL, OR USE THE PRODUCT AND CONTACT US IMMEDIATELY REGARDING ANY PURCHASE.
1. Agreement and Definitions
This EULA governs your acquisition and use of Products licensed by Auddict. “Product” means any virtual instrument, sample library, plugin, standalone application, or related digital content and software made available by Auddict, together with all included samples, presets, documentation, and updates (where provided). “Use” means download, installation, activation, access, or operation of a Product on a computer or device under your control. This EULA is supplemental to, and should be read together with, our Terms & Conditions and Privacy Policy.
2. Licence Grant
Subject to your compliance with this EULA and payment of all applicable fees, Auddict hereby grants you a limited, revocable (as set forth herein),non-exclusive, non-transferable, perpetual licence to install and use the Product solely for the purpose of creating original musical works. For the avoidance of doubt, no ownership interest in the Product or any constituent intellectual property is transferred to you.
Subject to the restrictions in Section 3, this licence expressly permits you to:
- install the Product on up to two (2) computers owned or exclusively controlled by you and operated by you personally;
- use the Product to create original musical compositions for commercial or non-commercial purposes;
- release, distribute, sell, license, or publicly perform or stream musical works that incorporate sounds generated by the Product as an integrated element of an original composition, provided the underlying samples are not distributed in isolation;
- use the Product in connection with live performance, film, television, games, advertising, podcasts, and other audio productions, subject always to the restrictions herein.
3. Restrictions and Prohibited Uses
Except as expressly permitted in Section 2, you shall not, and shall not permit any third party to, do any of the following:
- share, redistribute, resell, sublicense, rent, lease, lend, or otherwise make available the Product or any constituent samples, presets, patches, or audio content to any third party, whether for consideration or otherwise;
- include the Product’s samples, loops, one-shots, or audio content (in whole or in part, whether modified or unmodified) in any sample library, sound pack, sample collection, virtual instrument, or similar product where the audio content constitutes or contributes materially to the primary value of the deliverable;
- distribute raw, unprocessed, or isolated samples or audio content in any form, including as sound effects, construction kits, stems, or loops, where such content is the primary subject of distribution;
- use the Product’s audio content, samples, metadata, or any data derived therefrom to train, develop, fine-tune, validate, or improve any artificial intelligence, machine learning, neural network, generative model, or similar automated system, whether commercial or non-commercial;
- reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to derive the source code, algorithms, sample mappings, or internal structure of the Product;
- remove, alter, obscure, or circumvent any copyright notice, watermark, copy protection, digital rights management, or authentication mechanism embedded in or required by the Product;
- claim authorship of or ownership in the underlying intellectual property embodied in the Product;
- use the Product for any unlawful purpose or in violation of applicable law.
Any breach of this Section 3 shall constitute a material breach of this EULA entitling Auddict to immediate termination without refund.
4. Transferability
This licence is personal to you and may not be assigned, transferred, or sublicensed to any other person or entity without Auddict’s prior written consent. If you wish to transfer your licence, you must contact us using the support button at the bottom of this page to request approval; transfers are granted or withheld at our sole and absolute discretion. Unauthorised transfer, sharing, or distribution constitutes a material breach and may result in immediate termination and pursuit of available remedies.
5. Ownership and Reservation of Rights
The Product and all intellectual property rights therein (including without limitation copyrights, trade marks, trade secrets, and proprietary technology) are and shall remain the exclusive property of Auddict and its licensors. This EULA grants only a limited licence to use the Product and does not convey any title or ownership. You retain ownership of original musical compositions created by you using the Product, provided such compositions do not consist primarily of unmodified samples distributed in violation of Section 3.
6. Activation, Authentication, and Internet Requirements
Certain Products require an active internet connection for initial download, installation, activation, or authentication. Following successful activation, such Products may be used offline subject to the terms of the applicable Product. Re-authentication may be required following material changes to your hardware or operating system. You are solely responsible for maintaining access to the email address and account credentials associated with your purchase. Auddict shall not be liable for inability to activate or use a Product arising from your failure to maintain such access.
7. Third-Party Software and Compatibility
Certain Products require third-party software (including, without limitation, a full retail version of Native Instruments Kontakt, a compatible digital audio workstation, or a specified operating system) to function. Auddict does not warrant compatibility with any third-party software, hardware, or operating system, and shall not be liable for any loss or damage arising from changes to, discontinuation of, or incompatibility with third-party products. You are solely responsible for verifying compatibility prior to purchase.
8. Updates and Support
Auddict may, but is under no obligation to, release updates, patches, bug fixes, or additional content for any Product. Any updates provided are subject to this EULA unless accompanied by separate terms. Support is available on a commercially reasonable efforts basis via the support button at the bottom of this page. Support does not include custom development, training, or compatibility assistance beyond published system requirements.
9. Disclaimer of Warranties
THE PRODUCT IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. AUDDICT DOES NOT WARRANT THAT THE PRODUCT WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPATIBLE WITH ALL SYSTEMS OR CONFIGURATIONS.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AUDDICT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR CREATIVE WORK, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PRODUCT, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
AUDDICT’S AGGREGATE TOTAL LIABILITY UNDER THIS EULA SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM. NOTHING IN THIS EULA EXCLUDES OR LIMITS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD, OR ANY LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.
11. Termination
This EULA is effective upon your acquisition of the Product and continues until terminated. Auddict may terminate this EULA immediately upon written notice (including electronic notice) if you breach any term herein. Upon termination for any reason:
- your licence to use the Product is immediately and automatically revoked;
- you must permanently cease all use and delete all copies of the Product from all devices and storage media under your control;
- you are not entitled to any refund, credit, or compensation.
Sections 3, 5, 9, 10, 13, and 14 survive termination or expiration of this EULA.
12. Amendments
Auddict reserves the right to modify this EULA by posting a revised version on this page. Your continued use of a Product after posting constitutes acceptance of the revised EULA for future use. For Products already licensed, the EULA in effect at the time of purchase shall continue to apply unless you expressly agree to revised terms.
13. Governing Law and Jurisdiction
This EULA and any dispute arising out of or in connection with it (including non-contractual disputes) shall be governed by and construed in accordance with the laws of England & Wales. You irrevocably submit to the exclusive jurisdiction of the courts of England & Wales.
14. Severability and Entire Agreement
If any provision of this EULA is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. This EULA, together with the Terms & Conditions and Privacy Policy, constitutes the entire agreement between you and Auddict regarding the Product and supersedes all prior agreements, representations, and understandings, whether written or oral.
