In connection with the Offers, Peabody is soliciting consents to certain proposed amendments to the
Indenture. Holders may not tender their Notes without delivering consents or deliver consents without tendering their Notes.
INDENTURE RESERVES: The 'AAA' rating also reflects the sufficient level of cash and investments held in the following accounts under the
indenture: Escrow Reserve Accounts to cover a portion of principal and interest payments on certain classes of certificates; a Principal and Interest (P&I) Reserve Fund as a reserve for payment of principal and interest on all classes of certificates; a FNMA Reserve Fund for payment of principal and interest on those certificates collateralized by FNMA certificates.
Adoption of the proposed amendments to the 1970
Indenture required the holders of at least 51 per cent of the aggregate outstanding principal amount of 1970 Notes represented in person or by proxy, and 75 per cent of such holders voting in favour of the proposed amendments (the "1970 Requisite Meeting Approval").
Thus 'uselessness' in the context of
indenture meant deviating from the expected productivity threshold of a laborer.
